BUSINESS PROCUREMENT MANDATE FOR AFFILIATED AGENTS

Between: EASYWILL SERVICES LLC, a company duly incorporated and existing under the laws of the United Arab Emirates, with registered offices at Office SM1-02-114, Arab Bank Building, Port Saeed, Dubai, United Arab Emirates — Email: [email protected] — License No: 1454735, hereinafter referred to as "EasyWill".

And: an individual acting as an affiliated agent under UAE law (hereinafter, the "Affiliated Agent").

1. Purpose of the Mandate

EasyWill grants the Affiliated Agent a non-exclusive mandate to procure, promote, and disseminate EasyWill services to clients and contacts, consisting of the preparation and digital registration of Wills in compliance with UAE law. The Affiliated Agent acts as a business procurer, online and offline, without any legal or contractual authority to represent EasyWill.

2. Operational Terms

The Affiliated Agent will have access to an Agent Dashboard within the EasyWill platform, through which he/she may:

  • Generate personalized discount codes to distribute to clients;
  • Monitor sales and commissions in real time;
  • Request commission cashouts.

The platform automatically allocates 15% of the value of each Will sold through the referral code, distributed by default as follows:

  • 5% client discount;
  • 10% commission for the Affiliated Agent.

The Affiliated Agent and/or his/her Partner Agency may freely modify and redistribute these percentages using the dedicated dashboard function (e.g., 15% to the Affiliated Agent + 0% client discount; or 5% to the Affiliated Agent + 10% client discount, etc.).

3. Compensation and Commissions

EasyWill grants the Affiliated Agent a maximum commission equal to 15% on sales generated through referral codes created by the Affiliated Agent, according to the distribution set by the Agent. Commissions payable to the Affiliated Agent are net of any client discount (e.g., if 10% to the Affiliated Agent + 5% client discount, the Affiliated Agent receives 10%).

Commissions due to Affiliated Agents are paid directly by EasyWill to the Affiliated Agents (not to third parties), to the bank account communicated through the platform.

Commissions accrue upon full payment of the service by the client and are settled by bank transfer or another agreed method.

No fixed remuneration, allowances, or expense reimbursements are due from EasyWill to the Affiliated Agent.

4. Obligations of the Affiliated Agent

  • Promote EasyWill services ethically, transparently, and in full compliance with applicable local regulations;
  • Refrain from making legal or tax statements not expressly approved by EasyWill;
  • Use only official materials provided by EasyWill for communications and promotional activities;
  • Comply with all applicable UAE laws regarding advertising, consumer protection, data protection, and anti-money laundering.

5. Obligations of EasyWill

  • Provide the Affiliated Agent with digital tools for managing discount codes and commissions;
  • Ensure proper registration of wills with the competent authorities (e.g., Abu Dhabi Judicial Department);
  • Regularly settle accrued commissions.

6. Term and Termination

This Mandate starts on the date of digital acceptance by the Affiliated Agent and remains in force for an indefinite term. Either Party may terminate with 30 days’ written notice to [email protected]. EasyWill may terminate with immediate effect in the event of serious breaches, including misuse of the brand, unfair competition, or violations of UAE regulations.

7. Nature of the Relationship

The Affiliated Agent acts as an independent procurer. This Agreement does not create any relationship of subordination, agency, or joint venture. The Affiliated Agent has no authority to bind EasyWill contractually towards third parties.

8. Confidentiality and Data Protection

The Affiliated Agent must maintain strict confidentiality over all commercial, technical, and legal information received from EasyWill. Clients’ personal data is processed exclusively through the EasyWill platform, which adopts advanced security and encryption protocols.

9. Governing Law and Jurisdiction

This Mandate is governed by the laws of the United Arab Emirates, with reference to Federal Decree-Law No. 41/2022 concerning civil and personal status matters. Any dispute arising out of or in connection with this Mandate is submitted to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.

10. Digital Acceptance

This Mandate is provided in digital format. By clicking the “Register” button, the Affiliated Agent declares to have read and understood this Agreement, fully accepts all terms and conditions herein, and acknowledges the full legal validity of electronic acceptance under the laws of the United Arab Emirates.
